Common use of Governmental and Other Authorizations Clause in Contracts

Governmental and Other Authorizations. The execution and delivery of the Transaction Agreements and the consummation or performance by BioMarin or BioMarin Acquisition, as applicable, of their respective obligations hereunder and thereunder, do not and will not require any approval of any Governmental Body on the part of BioMarin or BioMarin Acquisition or any material consent, waiver or approval of any other Person on the part of BioMarin or BioMarin Acquisition, other than the filing of a report and notification pursuant to the HSR Act and the expiration of all waiting periods thereunder.
