Common use of Governmental and Third Party Consents Clause in Contracts

Governmental and Third Party Consents. No consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any Governmental Authority or other Third Party on the part of the Company is required in connection with the consummation of the transactions contemplated by this Agreement, except for notices required or permitted to be filed with certain state and federal securities commissions, which notices will be filed on a timely basis.

No consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any Governmental Authority federal, state or other Third Party on the part of the Company local governmental authority or any third party is required in connection with the consummation of the transactions contemplated by this Agreement, except qualification or filings under applicable securities laws as may be required in connection with the transactions contemplated by this Agreement and, with respect to MGMT, except for notices required or permitted to be filed with certain state and federal securities commissions, which notices will be filed on a timely basisthe Shareholders’ Consent.
