Governmental Approvals and Listings. The Company will as promptly as practicable take all action which may be necessary to obtain and keep effective any and all permits, consents and approvals of governmental agencies and authorities, and will make any and all filings under federal and state securities laws, necessary in connection with the issuance, distribution and transfer of Warrant certificates, the exercise of the Warrants, and the issuance, sale, transfer and delivery of Warrant Shares.
