Common use of Governmental Approvals Clause in Contracts

Governmental Approvals. All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions.

Governmental Approvals. All governmental agencies, departments, ---------------------- bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions, except where the absence of such consent, authorization or approval would not have a material adverse effect on the operation of the Business after the Closing.

Governmental Approvals. All governmental agencies, departments, ---------------------- bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer Seller of the transactions contemplated by this Agreement and the operation of the Seller's business by the Buyer shall have consented to, authorized, permitted or approved such transactions, including the Bankruptcy Court.

Governmental Approvals. All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer Company of the transactions contemplated by this Agreement and the operation of Company's business by Buyer shall have consented to, authorized, permitted or approved such transactions.

Governmental Approvals. All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions.

All governmental agencies, departmentsdepartment, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer Parent, the Company or the Subsidiaries of the transactions contemplated by this Agreement and the operation of the business of the Company and the Subsidiaries by the Buyer shall have consented to, authorized, permitted or approved such transactions.

Governmental Approvals. All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer Seller or Best of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions.

All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer Acquirer of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions.transactions including, without limitation, the approvals set forth in Schedule 7.3 hereof. ------------

All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by Open Solutions and the Buyer of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions.

Governmental Approvals. All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation for the consummation by the Buyer Seller or Stockholder of the transactions contemplated by this Agreement and the conveyance, assignment, transfer and delivery of the Assets to the Buyer shall have consented to, authorized, permitted or approved such transactions.

Governmental Approvals. All governmental agencies, departments, bureaus, commissions and similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order Law or regulation Regulation for the consummation by the Buyer of the transactions contemplated by this Agreement shall have consented to, authorized, permitted or approved such transactions, except to the extent such consents, authorizations and approvals are not reasonably likely to have a Material Adverse Effect on the Acquired Assets.
