Common use of Governmental Clearances Clause in Contracts

Governmental Clearances. The waiting periods applicable to consummation of the Merger under the HSR Act shall have expired or been terminated. Other than the filing of the Articles of Merger which shall be accomplished as provided in Section 1.2, all authorizations, consents, orders or approvals of, or declarations or filings with, or expirations of waiting periods imposed by, any Government Entity the failure of which to obtain or comply with would be reasonably likely to have a TCA Material Adverse Effect or a Thoratec Material Adverse Effect shall have been obtained or filed.

Governmental Clearances. The waiting periods period applicable to consummation of the Merger under the HSR Act shall have expired or been terminated. Other than the filing of the Articles Certificate of Merger which shall be accomplished as provided in Section 1.2, all authorizations, consents, orders or approvals of, or declarations or filings with, or expirations of waiting periods imposed by, any Government Entity the failure of which to obtain or comply with would be reasonably likely to have a TCA SEQUUS Material Adverse Effect or a Thoratec an ALZA Material Adverse Effect shall have been obtained or filed.

Other terminated and (other than the filing of the Articles Certificate of Merger Merger, which shall be accomplished as provided in Section 1.2, 2.2) all other authorizations, consents, orders or and approvals of, or declarations or and filings with, or and expirations of waiting periods imposed by, any Government Entity the failure of which to obtain or comply with would be reasonably likely to Law which, if not obtained or complied with, could have a TCA an Extensity Material Adverse Effect or a Thoratec Geac Material Adverse Effect shall have been obtained or filed.

Other than the filing of the Articles Certificate of Merger which shall be accomplished as provided in Section 1.2, all authorizations, consents, orders or approvals of, or declarations or filings with, or expirations of waiting periods imposed by, any Government Entity the failure of which to obtain or comply with would be reasonably likely to have a TCA Cohesion Material Adverse Effect or a Thoratec an Angiotech Material Adverse Effect shall have been obtained or filed.
