Common use of Governmental Laws Clause in Contracts

Governmental Laws. RECIPIENT and BAYER agree that each will comply with all applicable federal, state and local laws and regulations, including, without limitation, laws related to anti-corruption, healthcare fraud and abuse, privacy, discrimination, disabilities, fair labor standards, confidentiality, false claims and prohibition of kickbacks. Without limiting the generality of the foregoing, the parties acknowledge that BAYER conducts its relationships with healthcare professionals in compliance with applicable laws (including, without limitation, the U.S. Anti-Kickback Statute, 42 U.S.C. §1320a-7(b)), the PhRMA Code on Interactions with Healthcare Professionals, as amended (the “PhRMA Code”), promulgated by the Pharmaceutical Research and Manufacturers of America (PhRMA), and the Physician Payment Sunshine Act (Section 6002 of the Patient Protection and Affordable Care Act). In furtherance of this intention, please refer to BAYER’s Code of Conduct and applicable policies and procedures under the Anti-Kickback Statute at ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇/en/products/bayer-pharmaceuticals/ (“BAYER Policies”). RECIPIENT will conduct its interactions with healthcare professionals (and, to the extent applicable, will cause its employees and subcontractors to conduct their interactions with healthcare professionals) in accordance with all applicable laws and regulations, BAYER Policies and the PhRMA Code.
