Common use of Governmental, Regulatory and Other Consents and Approvals Clause in Contracts

Governmental, Regulatory and Other Consents and Approvals. All consents, approvals, assignments and actions of, filings with and notices to any Government Authority or any other public or private Persons required of any Seller, the Company or the Buyer to consummate the Closing and the other matters contemplated hereby, including without limitation those listed or required to be listed on Schedule 3.3 or Schedule 4.2, shall have been obtained. The board of directors of the Buyer and Merger Sub shall have adopted and approved this Agreement and the transactions contemplated hereby.

All consents, approvals, assignments and actions of, filings with and notices to any Government Authority or any other public or private Persons required of any SellerPreferred Shareholder, the Company or the Buyer Parent to consummate the Closing and the other matters contemplated herebyhereby shall have been obtained, including including, without limitation limitation, those listed or required to be listed on Schedule 3.3 or Schedule 4.2, shall have been obtained. The Parent’s board of directors of the Buyer and Merger Sub shall have adopted and approved the Merger, this Agreement and the transactions contemplated hereby.
