Common use of Governmental Restriction Clause in Contracts

Governmental Restriction. There shall not be any pending or overtly threatened suit, action or proceeding asserted by any Governmental Entity (i) challenging or seeking to restrain or prohibit the consummation of the Mergers or any of the other transactions contemplated hereby the effect of which restraint or prohibition if obtained would cause the condition set forth in Section 9.1(c) not to be satisfied, or (ii) seeking to require Parent, any Parent Subsidiary, the Company or any Company Subsidiary to effect any Action of Divestiture which would have the effect set forth in clause (ii) of the first sentence of Section 8.12(e).

There shall not be any pending or overtly threatened suit, action or proceeding asserted by any Governmental Entity Authority (i) challenging or seeking to restrain or prohibit the consummation of the Mergers Merger or any of the other transactions contemplated hereby hereby, the effect of which restraint or prohibition if obtained would cause the condition set forth in Section 9.1(c6.1(b) to not to be satisfied, or (ii) seeking to require Parent, any Parent Subsidiary, or the Company or any Company Subsidiary or affiliate to effect any an Action of Divestiture which would have the effect set forth in clause (ii) of the first sentence of Section 8.12(e5.6(e).
