Common use of Grant of License to Licensee Clause in Contracts

Grant of License to Licensee. Licensor hereby grants to Licensee an exclusive, irrevocable, royalty-free, fully paid-up, non-transferable, indivisible, perpetual right and license, throughout the world, subject to the terms of this Agreement, to (a) use, market, research, develop, modify, sell and have sold the Technology, (b) use, copy, execute, reproduce, translate, modify, improve, adapt, enhance, display, perform, and otherwise commercially exploit, in any medium or distribution technology whatsoever, whether known or unknown, the Technology and the Intellectual Property Rights (as defined below), in connection with Technology, in furtherance of the foregoing rights, and (c) sublicense any and all of the rights herein granted to IQ Micro Inc.
