Common use of Grantor Remains Liable Clause in Contracts

Grantor Remains Liable. Anything herein to the contrary notwithstanding, (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Administrative Agent of any of the rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral and (c) neither the Lenders nor the Administrative Agent shall have any obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Administrative Agent or the Lenders be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Grantor Remains Liable. Anything Notwithstanding anything herein to the contrary notwithstanding, contrary: (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Security Agreement had not been executed, ; (b) the exercise by the Administrative Agent Lender of any of the rights or remedies hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral and Collateral; and (c) neither the Lenders nor the Administrative Agent Lender shall not have any obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Administrative Agent or the Lenders Lender be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, , (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Security Agreement had not been executed, ; (b) the exercise by the Administrative Agent Lender of any of the its rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral and Collateral; and (c) neither the Lenders nor the Administrative Agent Lender shall not have any obligation or liability under the any such contracts and or agreements included in the Collateral by reason of this Security Agreement, nor shall the Administrative Agent or the Lenders Lender be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, : (ai) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (bii) the exercise by the Administrative Collateral Agent of any of the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, (iii) the Collateral and (c) neither the Lenders nor the Administrative Agent shall have any no obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Administrative Collateral Agent or the Lenders be obligated to perform any of the obligations or duties of the Grantor thereunder thereunder, and (iv) the Collateral Agent shall have no liability in contract or to take any action to collect tort for the Grantor’s acts or enforce any claim for payment assigned hereunderomissions.

Anything herein to the contrary notwithstanding, (ai) the each Grantor shall remain liable under the contracts and agreements included in the Intellectual Property Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (bii) the exercise by the Administrative Collateral Agent of any of the rights hereunder shall not release each Grantor from any of its duties or obligations under the contracts and agreements included in the Intellectual Property Collateral and (ciii) neither the Lenders nor the Administrative Collateral Agent shall have any has no obligation or liability under the contracts and agreements included in the Intellectual Property Collateral by reason of this Agreement, nor shall the Administrative Collateral Agent or the Lenders be obligated to perform any of the obligations or duties of such Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, notwithstanding (a) the Grantor shall remain be liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its the duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Administrative Agent Bank of any of the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral Collateral, and (c) neither the Lenders nor the Administrative Agent Bank shall not have any obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Administrative Agent or the Lenders Bank be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect correct or enforce any claim for payment assigned hereunderhereunder by reason of this Agreement.

Anything herein to the contrary notwithstanding, (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Administrative Agent Investors of any of the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral Collateral, and (c) neither the Lenders nor the Administrative Agent Investors shall not have any obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Administrative Agent or the Lenders Investors be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.
