Common use of Group Health Coverage Clause in Contracts

Group Health Coverage. If ▇▇. ▇▇▇▇▇▇ and his spouse and eligible children are entitled to, and timely (and properly) elect to, continue their coverage (or the coverage of any one of them) under CMI’s group health plans pursuant to COBRA, CMI shall pay the premiums for such COBRA continuation coverage for a period of eighteen (18) months following the last day of the month containing ▇▇. ▇▇▇▇▇▇’▇ date of termination or until ▇▇. ▇▇▇▇▇▇ is no longer entitled to COBRA continuation coverage under CMI’s group health plans, whichever period is shorter; provided, however, that notwithstanding the foregoing or any other provision in this Agreement to the contrary, CMI may unilaterally amend this Section 3.6(A)(v) or eliminate the benefit provided hereunder to the extent it deems necessary to avoid the imposition of excise taxes, penalties or similar charges on CMI or any of its subsidiaries or affiliates, including, without limitation, under Section 4980D of the Code
