Common use of Guarantee of Signature Clause in Contracts

Guarantee of Signature. No signature guarantee on this Letter of Transmittal is required unless the registered holder of the Starwood Units has completed the box entitled "Special Delivery Instructions". In such case all signatures on this Letter of Transmittal must be guaranteed by a member firm of any registered national securities exchange in the United States or of the National Association of Securities Dealers, Inc. or by a commercial bank or trust company (not a savings bank or a savings and loan association) having an office, branch or agency in the United States.
