Guaranteed Substantial Completion Date Clause Samples

Guaranteed Substantial Completion Date. Contractor shall achieve Substantial Completion no later than the date specified in Attachment E (“Guaranteed Substantial Completion Date”). The Guaranteed Substantial Completion Date shall only be adjusted by Change Order as provided under this Agreement.

Guaranteed Substantial Completion Date. Except as provided herein, the EPC Contractor shall achieve Substantial Completion of the Work not later than the Substantial Completion Date, as set forth in the Project Schedule. The Substantial Completion Date shall not be extended unless agreed to by written Project Change Order signed by Client and EPC Contractor. Time is of the essence with respect to the EPC Contractor’s obligations hereunder, including without limitation the EPC Contractor’s obligation to achieve Substantial Completion prior to the Substantial Completion Date as set forth in the Project Schedule.

Guaranteed Substantial Completion Date. Contractor shall achieve Substantial Completion no later than the Guaranteed Substantial Completion Date. The “Guaranteed Substantial Completion Date” is [***] ([***]) Days after issuance of NTP. The Guaranteed Substantial Completion Date shall only be adjusted as provided under this Agreement.”

Guaranteed Substantial Completion Date. Contractor shall achieve Substantial Completion of Project 3 no later than the date specified in Attachment 5 (“Guaranteed Substantial Completion Date”). The Guaranteed Substantial Completion Date shall only be adjusted by Change Order as provided under this Agreement.

Guaranteed Substantial Completion Date. Contractor guarantees that it shall achieve Substantial Completion no later than ninety (90) days following the Customer Signing Date, as adjusted pursuant to this Article 4 or as a result of Force Majeure Events, Host Customer delays, Sunrun delays or Utility or Governmental Authority delays (“Guaranteed Substantial Completion Date”). The Guaranteed Substantial Completion Date may only be adjusted as provided in this Contract or by mutual agreement of the Parties.

Guaranteed Substantial Completion Date. Contractor shall achieve Substantial Completion of Subproject 5 no later than the date specified in Attachment E (“Guaranteed Substantial Completion Date”). The Guaranteed Substantial Completion Date shall only be adjusted by Change Order as provided under this Agreement.

The “Guaranteed Substantial Completion Date” is [***] ([***]) Days after the guaranteed Train 2 substantial completion date (as defined in the Trains 1 and 2 EPC Agreement as of NTP under this Agreement), provided that NTP under this Agreement is issued on or before [***]. The Guaranteed Substantial Completion Date shall only be adjusted as provided under this Agreement.

Guaranteed Substantial Completion Date. Contractor shall achieve Substantial Completion of the Work no later than twenty-nine (29) Days after achieving Mechanical Completion (“Guaranteed Substantial Completion Date”). The Guaranteed Substantial Completion Date shall only be adjusted by Change Order as provided under this Agreement.

Guaranteed Substantial Completion Date. Except as provided herein, the EPC Contractor shall use commercially reasonable efforts to achieve Substantial Completion of the Work not later than the Substantial Completion Date, as set forth in the Project Schedule, but in no case shall EPC Contractor fail to reach the Substantial Completion Date by the Guaranteed Substantial Completion Date; provided, however, that the Guaranteed Substantial Completion Date shall be subject to extension in the event of (i) delays in securing necessary utility or interconnection approvals that are not due to the fault of EPC Contractor or its subcontractors; (ii) delays in securing necessary Permits or other government approvals necessary to complete the Work that are not due to the fault of EPC Contractor or its subcontractors; (iii) Client’s failure to perform, or breach of, its obligations under this Agreement or to other material negligent or intentional acts or omissions of Client or another third party (other than a contractor or subcontractor engaged by EPC Contractor or an invitee of EPC Contractor); (iv) Force Majeure events; and (v) approved Project Change Orders. Time is of the essence with respect to the EPC Contractor’s obligations hereunder, including without limitation the EPC Contractor’s obligation to achieve Substantial Completion prior to the Guaranteed Substantial Completion Date, as such date may be extended as detailed herein.
