Common use of GUARANTOR'S ACKNOWLEDGEMENT Clause in Contracts

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each of the Guarantors (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this First Amendment and the Replacement Notes, and (b) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are (i) not released, diminished, waived, modified, impaired or affected in any manner by this First Amendment, (ii) hereby ratified and confirmed and (iii) not subject to any claims, offsets, defenses or counterclaims.

By signing below, each of the Guarantors (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this First Amendment and the Replacement NotesSecond Amendment, and (b) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are (i) not released, diminished, waived, modified, impaired or affected in any manner by this First Second Amendment, (ii) hereby ratified and confirmed and (iii) not subject to any claims, offsets, defenses or counterclaims.

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each of the Guarantors (ai) acknowledges, acknowledges and consents and agrees to the execution, delivery and performance by the Borrower Company of this First Amendment and the Replacement NotesSecond Amendment, and (bii) acknowledges and agrees that its obligations in respect of its Subsidiary the Guaranty or any other Loan Documents executed by it Agreement (A) are (i) not released, diminished, waived, modified, impaired or affected in any manner by this First Second Amendment or any of the provisions contemplated herein, and (B) cover, among other things, the Commitment as increased by this Second Amendment, and (ii) hereby ratified and confirmed and (iii) not subject to any claimsacknowledges that it has no claims or offsets against, offsets, or defenses or counterclaimscounterclaims to, the Guaranty Agreement.
