Common use of GUARANTOR’S ACKNOWLEDGMENT Clause in Contracts

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Fifth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fifth Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty, and (iv) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Subsidiary Guaranty.

By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Fifth Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fifth Amendment Fourth Amendment, or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty, Guaranty and (iv) acknowledges and agrees that it has no claims claim or offsets against, or defenses or counterclaims to, its Subsidiary Guaranty.

By signing below, each Guarantor of the Guarantors (i) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Fifth Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary the Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fifth Fourth Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary the Guaranty, and (iv) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Subsidiary the Guaranty.

By signing below, each Guarantor (ia) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower and Limited of this Fifth Fourth Amendment, (iib) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty (i) are not released, diminished, waived, modified, impaired or affected in any manner by this Fifth Fourth Amendment or any of the provisions contemplated herein, (iiic) ratifies and confirms its obligations under its Subsidiary Guaranty, and (ivd) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Subsidiary Guaranty.
