Guarantor’s Representations and Warranties. Guarantor represents and warrants that: (a) All financial statements delivered to Agent or the Lenders were or will be prepared in accordance with generally accepted accounting principles, or such other accounting principles as may be acceptable to the Requisite Lenders at the time of their preparation, consistently applied; (b) There has been no material adverse change in Guarantor's financial condition since the dates of the statements most recently furnished to Agent and the Lenders; and (c) All representations and warranties given on behalf of or with respect to Guarantor contained in Article V of the Credit Agreement and in any other Loan Document or certification made in connection with the Credit Agreement are true and correct.
