Hardware as a Service. 14.1 If we are providing you with Hardware as a Service (“▇▇▇▇”) Services, the following terms apply: (a) Any equipment provided under a ▇▇▇▇ Services is rented to you with the associated services. Any equipment provided is, and will remain, in the sole ownership of Vertech. You agree that you will not, and will not attempt to, sell or relinquish control over any of our equipment. This includes, but is not limited to, any server, managed firewall, PC, and networking equipment.
Hardware as a Service. Allegiant may rent to you under the terms of a separate agreement, or otherwise provide to you for the Service Contract Term set forth in your Service or Purchase Order, certain devices, including, but not limited to servers, phones, routers, and switches, etc. (“MSP Hardware”), for use on your premises or at Allegiant’s Date Center Site. Title to the MSP Hardware shall at all times remain with Allegiant or the Third-Party Providers of the Services as the case may be. Allegiant may vary the technical specifications of the MSP Hardware, provided that at all times such changes do not materially impair or degrade the Service.
Hardware as a Service. The Hybrid Server is sold to Reseller and paid by Reseller in monthly payments as stated in each applicable invoice. Each Hybrid Server can be purchased by reseller at the end of each order term for a fixed fee.
Hardware as a Service. Subject to the terms and conditions set forth in this Agreement, Provider hereby agrees to provide Customer the Hardware described in Schedule A to this Agreement (the “Hardware”, “Hardware” shall refer to the Hardware individually and collectively).
Hardware as a Service. 4.1. Where Hardware is provided on an “As A Service” basis as indicated in the Ordering Document, the Hardware shall remain at the risk of SmartSpace until delivery of the Hardware to the Delivery Location(s), whereupon the risk shall pass to Client. The title in the Hardware shall pass to Client upon final payment of the applicable Charges at the end of the Initial Term. 4.2. The Client shall ensure the Hardware is maintained in good workable condition, except for reasonable wear and tear, throughout the Initial Term. In the event that Client fails to pay the Charges SmartSpace shall have the right to recover the Hardware from Client. 4.3. Upon transfer of risk to Client in accordance with 4.1, Client shall be responsible for repair or replacement of any damaged or lost Hardware or exclusions from the manufacturer’s warranty (except where due to the negligence of SmartSpace) and shall hold sufficient insurance to cover any such loss until the title of the Hardware passes to Client.

Related to Hardware as a Service

  • Continuous Service The Parties shall continue providing services to each other during the pendency of any dispute resolution procedure, and the Parties shall continue to perform their obligations (including making payments in accordance with Article IV, Section 4) in accordance with this Agreement.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (▇▇▇) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.
