Hosted Services. 3.1 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services for the business purposes of the Customer in accordance with the Documentation during the Term. 3.2 The Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account to enable the Customer to configure and administer the Hosted Services and enable registration of Customer End Users. 3.3 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 is subject to the following prohibitions: (a) the Customer must not sub-license its right to use the Hosted Services; (b) the Customer must not make any alteration to the Platform; and (c) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern the availability of the Hosted Services. 3.7 The Customer must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account comply with the Terms Of Use. 3.8 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

(b) the Customer must not permit any unauthorised person to access or use the Hosted Services ; (bc) the Customer must not use the Hosted Services to provide services to third parties; (d) the Customer must not republish or redistribute any content or material from the Hosted Services ; and (e) the Customer must not make any alteration to the Platform; and (c) , except as permitted by the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the ProviderDocumentation. 3.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical reasonable security measures relating to administrator Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an administrator Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) Provider shall govern use all reasonable endeavours to maintain the availability of the Hosted Services to the Customer at the gateway between the public internet and the network of the Hosted Services provider for the Hosted Services, but does not guarantee 100% availability. 3.7 For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this Agreement: (a) a Force Majeure Event; (b) a fault or failure of the internet or any public telecommunications network; (c) a fault or failure of the Customer's computer systems or networks; (d) any breach by the Customer of this Agreement; or (e) scheduled maintenance carried out in accordance with this Agreement. 3.8 The Customer must comply with Schedule 2 (Acceptable Use Policy), and must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an administrator Account comply with the Terms Of UseSchedule 2 (Acceptable Use Policy). 3.8 3.9 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 3.10 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 3.11 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 3.12 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

Hosted Services. 3.1 2.1 An order for Hosted Services must be placed using a Sales Order. The Client shall use the Hosted Services exclusively for authorized and legal purposes consistent with all applicable laws, regulations and any acceptable use policy the Provider may make part of these Terms and Conditions from time to time. 2.11 All Intellectual Property Rights in the Hosted Services and the Documentation belong to, and shall remain vested in, the Provider, and the Client shall have no rights in or to the Software, the Documentation, or the Services other than the right to use them in accordance with the authority terms of this agreement. This Agreement does not grant the Client any rights to, or in, whether registered or unregistered, any patents, copyright, database right, trade secrets, trade names, trademark, or any other rights or licences in respect of the Customer Services or by means the Documentation. The Client agrees that it will not (a) modify, copy, decompile, disassemble, or reverse engineer, or cause any other party to modify, copy, decompile, disassemble, or reverse engineer Provider’s software, technology, and/or other services; (b) sublicense any of an Account comply Provider’s Intellectual Property Rights to third parties or sell, resell, rent, sublicense, or lease the Services to third parties; (c) otherwise violate the license grant or restrictions set forth herein; (d) use the Services to store or transmit malicious code; (e) interfere with or disrupt the Terms Of Useintegrity or performance of the Services, Provider’s operations, or third-party’s data contained therein, either directly or using third party technology; (f) alter, copy, move, or delete any tags or codes placed as part of the Services; (g) misappropriate any of Provider’s software, technology, or other services; (h) use, permit, enable, or assist any third party to use the Services to create competing products or services. 3.8 2.12 The Customer Client must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 . The Customer Client must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 2.13 For the avoidance of doubt, the Customer Client has no right to access the any software code (including object code, intermediate code and and/or source code) of the Platform), either during or after the Term. 3.11 2.14 All rights not expressly licensed to the Client herein are reserved by the Provider including, without limitation, all ownership and proprietary rights in Provider’s technology and the Services. The Provider may suspend Client acknowledges and agrees that Client’s rights, in and to, Provider’s Intellectual Property Rights including its technology and Services are limited to the provision license rights set forth herein. The Client shall never claim ownership or proprietary rights in Provider’s technology or Services. All Intellectual Property Rights in any Customizations designed, developed, or implemented in accordance with the Agreement between parties shall always be the exclusive property of the Hosted Provider. The Client is not permitted to change or modify Provider's Intellectual Property Rights. Without limiting the foregoing, in the event of any change, modification, extension, or correction thereof, the Client hereby irrevocably assigns to Provider by way of present and future assignment with full title guarantee, any and all rights it may be deemed to have in any such change, modification, extension, or correction, and agrees to execute all documents necessary to implement and effect such assignment. To the extent that the Client is unavailable or unwilling to execute such documents then the Client hereby appoints the Provider as its attorney in fact for the purpose of executing the forgoing assignment(s). The Client shall not (i) misappropriate any of the Provider’s software, technology, or other services; (ii) use, permit, enable, or assist any third party to use the Services if to create competing products or services; or (iii) use or modify any amount due of Provider’s Intellectual Property Rights unless otherwise agreed to be paid by the Customer to AWS for Provider in a written instrument duly signed by the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basisProvider.

The Customer must comply the Acceptable Use section, and must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an authorised Account comply with the same such conditions; g. The Customer must not use the Hosted Services: (a) i. in any way that is unlawful, illegal, fraudulent fraudulent, or harmful; or (b) ii. in connection with any unlawful, illegal, fraudulent fraudulent, or harmful purpose or activity.; 3.10 iii. Hosted Services. 3.1 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services for the business purposes of the Customer in accordance with the Documentation during the Term. 3.2 4.1 The Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account on or promptly following the Effective Date. 4.2 The Provider hereby grants to enable the Customer a worldwide, non-exclusive licence to configure and administer use the Hosted Services and enable registration by means of a Supported Web Browser for the internal business purposes of the Customer End Usersin accordance with the Documentation during the Term. 3.3 4.3 Except to the extent expressly permitted in this Agreement or required by law on a non- non-excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 4.2 is subject to the following prohibitions: (a) the Customer must not sub-license its right to access and use the Hosted Services; (b) the Customer must not make permit any alteration unauthorised person to access or use the PlatformHosted Services; (c) the Customer must not use the Hosted Services to provide services to third parties. For the avoidance of doubt the Customer’s Affiliates shall be permitted to use the Hosted Services as though such Affiliate(s) were a party to this Agreement, subject always to any license or usage caps in force from time to time; (d) the Customer must not republish or redistribute any content or material from the Hosted Services; and (ce) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 4.4 The Customer Provider shall use reasonable endeavours, including appropriate organisational and technical measures relating endeavours to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern maintain the availability of the Hosted Services to the Customer at the gateway between the public internet and the network of the hosting services provider for the Hosted Services, but does not guarantee 100% availability. 3.7 The Customer must ensure that all persons using 4.5 For the Hosted Services with the authority avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this Agreement: (a) a Force Majeure Event; (b) a fault or failure of the internet or any public telecommunications network; (c) a fault or failure of the Customer's computer systems or networks; (d) any material breach by the Customer or by means of an Account comply this Agreement; or (e) scheduled maintenance carried out in accordance with the Terms Of Usethis Agreement. 3.8 4.6 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 4.7 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 4.8 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 4.9 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

Hosted Services. 3.1 5.1 The Provider shall provide, or shall ensure that the Platform will provide, to the Customer upon the completion of the Set Up Services the Access Credentials necessary to enable the Customer to access and use the Hosted Services. 5.2 The Provider hereby grants to the Customer a worldwide, non-exclusive exclusive, non-transferable licence to solely for the purposes of use of the Hosted Services by means of the User Interface for the internal business purposes of the Customer Customer, in accordance with the Documentation during the Term. 3.2 5.3 The licence granted by the Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account under Clause 5.2 is subject to enable the following limitations: (a) the User Interface may only be used by the Authorised Users of either the Customer to configure and administer or an Affiliate of the Customer; (b) the User Interface must not be used at any point in time by more than the number of concurrent Authorised Users specified in Schedule 1 (Hosted Services particulars), providing that the Customer may add or remove concurrent user licences in accordance with the licence change procedure defined by the Hosted Services and enable registration of Customer End Users.Services; and 3.3 5.4 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 5.2 is subject to the following prohibitions: (a) the Customer must not sub-license its right to access and use the Hosted Services; (b) the Customer must not permit any unauthorised person or application to access or use the Hosted Services; (c) the Customer must not use the Hosted Services to provide services to third parties; (d) the Customer must not republish or redistribute any content or material from the Hosted Services; (e) the Customer must not make any alteration to the PlatformPlatform or any aspect of the Hosted Services; and (cf) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 5.5 The Customer shall use implement and maintain reasonable endeavours, including appropriate organisational and technical security measures relating to Account access details, the Access Credentials to ensure that no unauthorised person or application may gain access to the Hosted Services using an Accountby means of the Access Credentials. 3.6 5.6 The parties acknowledge and agree that Schedule 2 3 (Availability SLA) shall govern the availability of the Hosted Services. 3.7 5.7 The Customer must comply with Schedule 2 (Acceptable Use Policy), and must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account the Access Credentials comply with the Terms Of UseSchedule 2 (Acceptable Use Policy). 3.8 5.8 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 5.9 The Customer must not use the Hosted Services in any way that uses excessive Platform resources and as a result is liable to cause a material degradation in the services provided by the Provider to its other customers using the Platform; and the Customer acknowledges that the Provider may use reasonable technical measures to limit the use of Platform resources by the Customer for the purpose of assuring services to its customers generally. 5.10 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 5.11 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

Hosted Services. 3.1 4.1 The Provider Company shall ensure that the Hosted Services will, on the Effective Date, implement their account generation process which may take up to 7 days to generate an account for the Client (“Account”) at which point the Client will be provided with login details for that Account. 4.2 The Company hereby grants to the Customer Client a worldwide, non-exclusive licence to use the Hosted Services for the business purposes by means of the Customer in accordance with the Documentation a supported web browser during the Term. 3.2 4.3 The Provider shall create an Account for licence granted by the Customer and shall provide Company to the Customer login details for that Account Client under Clause 4.2 is subject to enable the Customer to configure and administer the Hosted Services only being used by the officers and enable registration employees or consultants, of Customer the Client and End Users. 3.3 4.4 Except to the extent expressly permitted in this Agreement or required by law on a non- non-excludable basis, the licence granted by the Provider Company to the Customer Client under Clause 3.1 4.2 is subject to the following prohibitions: (a) a. the Customer Client must not sub-license its right to access and use the Hosted Services; (b) b. the Customer Client must not make permit any alteration unauthorised person to access or use the PlatformHosted Services; c. the Client must not use the Hosted Services to provide services to third parties other than End Users; and (c) d. the Customer Client must not conduct republish or request that redistribute any other person conduct any load testing content or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern the availability of material from the Hosted Services. 3.7 4.5 The Customer Company shall use reasonable endeavours to meet the service level targets set out in Part C of the Schedule. 4.6 For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this Agreement: a. a Force Majeure Event; b. a fault or failure of the internet or any public telecommunications network; c. a fault or failure of the Client's computer systems or networks; d. any breach by the Client of this Agreement; or e. scheduled maintenance carried out in accordance with this Agreement. 4.7 The Client must comply with Paragraph 2 (Client Responsibilities), and must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account Client comply with the Terms Of UseParagraph 2. 3.8 4.8 The Customer Client must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform Hosted Services or impairment of the availability or accessibility of the Hosted Services. 3.9 4.9 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 The Provider Company may suspend the provision of the Hosted Services if any amount due to be paid by the Customer Client to AWS for the benefit of the Provider Company under this Agreement is overdue, and the Provider Company has given to the Customer Client at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

Hosted Services. 3.1 The Provider shall ensure that the Platform will, on the Effective Date, automatically generate an Account for the Customer and provide to the Customer login details for that Account. 3.2 The Provider hereby grants to the Customer a worldwidean England and Wales wide, non-exclusive licence license to use the Hosted Services by means of a Supported Web Browser for the internal business purposes of the Customer in accordance with the Documentation during the Term. 3.2 3.3 The license granted by the Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account under Clause 3.2 is subject to enable the Customer to configure and administer following limitations: (a) the Hosted Services may only be used by the officers, employees, agents and enable registration subcontractors of the Customer End Usersin connection with the Customer sites identified within Schedule 1 paragraph 5 (physical Customer sites); (b) the Hosted Services may only be used by the named users identified in Schedule 1 (Hosted Services particulars), providing that the Customer may change, add or remove a designated named user in accordance with the procedure set out therein. 3.3 3.4 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 3.2 is subject to the following prohibitions: (a) the Customer must not sub-license its right to access and use the Hosted Services; (b) the Customer must not sell, resell, rent, lease, loan, supply, publish, distribute or redistribute the Software, or access to the Software; (c) the Customer must not permit any unauthorised person to access or use the Hosted Services; (d) the Customer must not use the Hosted Services to provide services to third parties; (e) the Customer must not republish or redistribute any content or material from the Hosted Services; (f) the Customer must not make any alteration to the Platform; and (cg) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. (h) the Customer must not decompile, de-obfuscate or reverse engineer, or attempt to decompile, de-obfuscate or reverse engineer, the Software. 3.5 The Customer shall use all reasonable endeavoursendeavors, including appropriate organisational and technical reasonable security measures relating to administrator Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an administrator Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) Provider shall govern use reasonable endeavors to maintain the availability of the Hosted ServicesServices to the Customer at the gateway between the public internet and the network of the hosting services provider for the Hosted Services but does not guarantee 100% availability. 3.7 For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this Agreement: (a) a Force Majeure Event; (b) a fault or failure of the internet or any public telecommunications network; (c) a fault or failure of the Customer's computer systems or networks; (d) any breach by the Customer of this Agreement; or (e) scheduled maintenance carried out in accordance with this Agreement. 3.8 The Customer must comply with the ▇▇▇▇ (Schedule 4) and must ensure that all persons using who use the Hosted Services Software with the authority of the Customer or by means of an Account comply with the Terms Of Use▇▇▇▇. 3.8 3.9 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 3.10 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 3.11 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 3.12 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 14 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

The Hosted Services are designed as a self-assessment tool purchased directly by the Customer, and not as a tool to prospect for business by a third party without the express written agreement of the Provider. Such authorisation is subject to separately-agreed commercial terms determined on a case-by-case basis. Hosted Services. 3.1 The Provider shall ensure that the Platform is available, to the Customer upon the Effective Date to enable the Customer to complete their setup of the Hosted Services. 3.2 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services by means of the User Interface for the internal business purposes of the Customer in accordance with the Documentation during the Term. 3.2 3.3 The license granted by the Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account under Clause 3.2 is subject to enable the Customer to configure following limitations: (a) the User Interface may only be used through a Supported Web Browse; (b) the User Interface may only be used by the officers, employees, agents and administer subcontractors of the Hosted Services and enable registration of Customer End Users.Customer; 3.3 3.4 Except to the extent expressly permitted in this Agreement these Terms and Conditions or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 3.2 is subject to the following prohibitions: (a) the Customer must not sub-license its right to access and use the Hosted Services; (b) the Customer must not make permit any alteration unauthorised person or application to access or use the Platform; andHosted Services; (c) the Customer must not use the Hosted Services to provide services to third parties; (d) the Customer must not republish or redistribute any content or material from the Hosted Services; (e) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 The Customer shall use implement and maintain reasonable endeavours, including appropriate organisational and technical security measures relating to Account access details, the Access Credentials to ensure that no unauthorised person or application may gain access to the Hosted Services using an Accountby means of the Access Credentials. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) Provider shall govern use reasonable endeavors to maintain the availability of the Hosted ServicesServices to the Customer but does not guarantee 100% availability. 3.7 The For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of the Agreement: (a) a Force Majeure Event; (b) a fault or failure of the internet or any public infrastructure network; (c) a fault or failure of the Customer's computer systems or networks; (d) any breach by the Customer must ensure that all persons using of the Hosted Services Agreement; or (e) scheduled maintenance carried out in accordance with the authority of the Customer or by means of an Account comply with the Terms Of UseAgreement. 3.8 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 3.10 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this the Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

Hosted Services. 3.1 4.1 The Provider shall ensure that the Platform will, on the Effective Date, automatically generate an Account for the Customer and provide to the Customer login details for that Account. 4.2 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services Services[ by means of a Supported Web Browser for [the internal business purposes of the Customer in accordance with the Documentation during the Term. 3.2 4.3 The licence granted by the Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account under Clause 4.2 is subject to enable the Customer to configure and administer following limitations: (a) the Hosted Services may only be used by the officers, employees, agents and enable registration subcontractors of Customer End Users.the Customer; 3.3 (b) the Hosted Services must not be used at any point in time by more than the number of concurrent users specified in [Schedule 1 (Hosted Services particulars) 4.4 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 4.2 is subject to the following prohibitions: (a) the Customer must not sub-license its right to access and use the Hosted Services; (b) the Customer must not make permit any alteration unauthorised person to access or use the Platform; andHosted Services; (c) the Customer must not use the Hosted Services to provide services to third parties; (d) the Customer must not republish or redistribute any content or material from the Hosted Services; (e) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 4.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical reasonable security measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an AccountServices. 3.6 4.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) Provider shall govern use all reasonable endeavours to maintain the 99% availability of the Hosted Services to the Customer at the gateway between the public internet and the network of the hosting services provider for the Hosted Services. 3.7 4.7 For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this Agreement: (a) a Force Majeure Event; (b) a fault or failure of the internet or any public telecommunications network; (c) a fault or failure of the Customer's computer systems or networks; (d) any breach by the Customer of this Agreement; or (e) scheduled maintenance carried out in accordance with this Agreement. 4.8 The Customer must comply with Schedule 2 (Acceptable Use Policy), and must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account comply with the Terms Of UseSchedule 2 (Acceptable Use Policy). 3.8 4.9 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 4.10 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 4.11 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 4.12 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least [30 days' '] written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

Except to the extent expressly permitted in this Agreement these Terms and Conditions or required by law on a non- non-excludable basis, the licence granted by the Provider Company to the Customer under Clause 3.1 6.2 is subject to the following prohibitions: (a) : - the Customer must not sub-license its right to access and use the Hosted Services; (b) ; - the Customer must not permit any unauthorised person to access or use the Hosted Services; - the Customer may use the Hosted Services to provide services to third parties with the Company’s permission; - the Customer may republish or redistribute any content or material from the Hosted Services with the provider’s permission; and - the Customer must not make any alteration to the Platform; and (c) , except as permitted by the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the ProviderDocumentation. 3.5 5. Hosted Services. 3.1 4.1 The Provider shall ensure that the Platform will automatically generate an Account for the Customer and provide to the Customer login details for that Account. 4.2 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services for the internal business purposes of the Customer in accordance with the Documentation during the Term. 3.2 4.3 The Provider shall create an Account for Hosted Services may only be used by the named users identified in Schedule 1 (Hosted Services particulars), providing that the Customer and shall provide to may change, add or remove a designated named user in accordance with the Customer login details for that Account to enable the Customer to configure and administer the Hosted Services and enable registration of Customer End Users.procedure set out therein; 3.3 4.4 Except to the extent expressly permitted in this Agreement or required by law on a non- non-excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 4.2 is subject to the following prohibitions: (a) the Customer must not sub-license its right to access and use the Hosted Services; (b) the Customer must not make permit any alteration unauthorised person to access or use the Platform; andHosted Services; (c) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on use the Platform or Hosted Services without to provide services to third parties; (d) the prior written consent of Customer must not republish or redistribute any content or material from the ProviderHosted Services other than to individuals within its own organisation; and (e) the Customer must not make any alteration to the Platform, except as permitted by the Documentation. 3.5 4.5 The Customer shall use reasonable endeavours, including appropriate organisational regular monitoring of usage and technical reasonable security measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 4.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) Provider shall govern use reasonable endeavours to maintain the availability of the Hosted Services to the Customer at the gateway between the public internet and the network of the hosting services provider for the Hosted Services, but does not guarantee 100% availability. 3.7 4.7 For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this Agreement: (a) a Force Majeure Event; (b) a fault or failure of the internet or any public telecommunications network; (c) a fault or failure of the Customer's computer systems or networks; (d) any breach by the Customer of this Agreement; or (e) scheduled maintenance carried out in accordance with this Agreement. 4.8 The Customer must comply with Schedule 2 (Acceptable Use Policy), and must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account comply with the Terms Of UseSchedule 2 (Acceptable Use Policy). 3.8 4.9 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 4.10 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 4.11 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 4.12 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.
