House Accounts. Excluded from commissions payable for sales in the Territory are sales to the following House Accounts:
House Accounts. The term "House Accounts" means the existing -------------- -------------- customers of OPEN MARKET as of the Effective Date with facilities located in the Territory, to which Distributor shall be authorized to market and distribute the Software, only on condition that such software be purchased and physically located within the territory. House Accounts. There are no “House” accounts or “Direct” accounts within the Territory unless designated as such in an attachment to this Agreement. Upon execution of this Agreement, no such accounts may be designated without the prior written consent of Representative.
House Accounts. In some instances the Territory and/or Distribution Channels may include retailers who have been engaged by Crocs as international "in house accounts ("House Accounts"). As of the Effective Date Crocs is not shipping to any House Accounts within the Territory. Accounts that originate in the Territory shall not qualify as House Accounts. In the event a House Account requests shipments be sent into the Territory, Crocs agrees to notify Distributor within thirty (30) days of its first such shipment. For such accounts, Crocs agrees to pay Distributor a seven percent (7%) commission of gross sales on all orders shipped into the territory by Crocs. Crocs shall supply Distributor with a quarterly accounting of any shipments made into the Territory by Crocs pursuant to a House Account. Such commission shall also apply to orders shipped into the Territory by the House Account customer, provided such orders can be quantified by Crocs using commercially reasonable efforts and inquiries. Commissions on House Accounts shall be paid to Distributor on a quarterly basis.
House Accounts. Ameritech reserves the right to identify certain accounts as "House Accounts", and AD is not authorized to, and shall not Distribute Products to such accounts. A list of House Accounts is set forth under Exhibit F of this Agreement, incorporated by reference herein, and Ameritech, at its sole discretion, may modify Exhibit F from time-to-time via the "▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇" web site and bulletin board, and each modification will be deemed incorporated herein as if originally set forth herein, and the modification shall be effective on the date the modification is posted on the web site and bulletin board.
a) In the event Ameritech newly designates an account as a House Account, AD will have ninety (90) days from the date of such designation to close all pending sales activity, and AD will be paid commission for sales made to that account within said ninety (90) day period. To be eligible for this exception to the House Account rule, AD must notify Ameritech in writing within three (3) business days of the new designation by Ameritech that AD has pending sales activity on that account. The writing must include the account name, telephone number, the Product(s) being marketed, and the current stage of the sale. AD will not be awarded commission under this subsection on any sale made to a House Account after ninety (90) days from the date the account is so designated.
House Accounts. Notwithstanding any other provision of this Agreement, Distributor agrees not to market or sell any Products to customers (if any) listed in the “House Accounts” section on the first page of the Agreement unless authorized by [***] in writing. The list of House Accounts may be modified by [***] at any time by delivery of written notice to Distributor. [***] shall retain the exclusive right to market and sell Products to House Accounts. 3.2 In addition to existing House Accounts, Licensor reserves the right to classify new customers in the Territory as House Accounts if they are not in the Specified Market or Territory, as defined in this License Agreement, are purchasing Non-Bio-Raptor(TM) Hydrocarbon products, Non-Hydrocarbon Bio-Raptor(TM) products, or are preexisting customers who have Letters of Intent with Licensor for Bio-Raptor applications. In addition, customers who are referred to Licensor by Licensee or other Licensees in the Territory in other Specified Markets may also be classified as House Accounts.
