The waiting period (and any extension thereof) applicable to the Merger under the HSR Act shall have been terminated or shall have expired, the approvals listed on Schedule 3.1(c)(iii) shall have been obtained and no restrictive order or other requirements shall have been placed on the Company, Newco or the Surviving Corporation in connection therewith.
