Common use of Identity and Power Clause in Contracts

Identity and Power. (a) Purchaser has all requisite powers and all governmental licenses, authorizations, consents and approvals necessary to carry on its business as now conducted, to execute and deliver this Agreement and any document or instrument required to be executed and delivered on behalf of Purchaser hereunder, to perform its obligations under this Agreement and any such other documents or instruments and to consummate the transactions contemplated hereby; and (b) Purchaser is a Virginia limited partnership duly organized, validly existing under the laws of the State of Virginia, and has all requisite power and authority under the laws of such State and under its charter documents to enter into and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. Purchaser is in good standing as a limited partnership in the State of Virginia.

Purchaser is in good standing as a limited partnership in the State Commonwealth of Virginia.
