Immediate. A party may terminate this agreement immediately by giving written notice to the other if: (i) the other is in material breach and (where capable of remedy) does not remedy the breach within 14 days or (ii) the other is unable to pay its debts or has become insolvent. A party entitled to terminate under this clause may, without compromising such rights, instead suspend use of the platform for a period of up to 90 days.
