Immediate. UCAN may immediately terminate this contract in whole or in part upon written notice to the Contractor for cause related to any material misrepresentation, malfeasance, gross negligence, abandonment of performance or loss of authority by Contractor to perform any of its obligations hereunder as determined by UCAN in its sole discretion.
