Common use of Implementing Agreement Clause in Contracts

Implementing Agreement. Subject to the terms and conditions hereof, each Seller shall take all action required of it to fulfil its obligations under the terms of this Agreement and shall otherwise use all commercially reasonable efforts to facilitate the consummation of the transactions contemplated hereby. Except as otherwise expressly permitted hereby, each Seller agrees that it will not take any action that would have the effect of preventing or impairing its performance of its obligations under this Agreement.

Implementing Agreement. Subject to the terms and conditions hereof, each Seller Purchaser shall take all action required of it to fulfil its obligations under the terms of this Agreement and shall otherwise use all commercially reasonable efforts to facilitate the consummation of the transactions contemplated hereby.
