Impositions and Other Charges. Subject to the third sentence of this Section 7.1, Borrower shall pay, or shall cause Operating Lessee to pay all Impositions now or hereafter levied or assessed or imposed against the Property or any part thereof prior to the imposition of any interest, charges or expenses for the non-payment thereof and shall pay all Other Charges on or before the date they are due. Subject to Borrower’s right of contest set forth in Section 7.3, as set forth in the next two sentences and provided that there are sufficient funds available in the Tax Reserve Account, Lender, on behalf of Borrower, shall pay all Impositions and Other Charges which are attributable to or affect the Property or Borrower, prior to the date such Impositions or Other Charges shall become delinquent or late charges may be imposed thereon, directly to the applicable taxing authority with respect thereto. Lender shall, or Lender shall direct the Cash Management Bank to, pay to the taxing authority such amounts to the extent funds in the Tax Reserve Account are sufficient to pay such Impositions. Nothing contained in this Agreement or the Security Instrument shall be construed to require Borrower to pay any tax, assessment, levy or charge imposed on Lender in the nature of a franchise, capital levy, estate, inheritance, succession, income or net revenue tax.
Impositions and Other Charges. Each Borrower shall pay all Impositions, now or hereafter levied or assessed or imposed against its Individual Property or any part thereof, subject to Lender's obligation to disburse funds from the Basic Carrying Costs Sub-Account pursuant to Section 2.7.7(b) and shall pay all water, sewer, maintenance and other charges now or hereafter levied or assessed or imposed against such Individual Property or any part thereof (the "Other Charges") as same become due and payable. No Borrower shall suffer, and each Borrower shall promptly cause to be paid and discharged, any Lien whatsoever which may be or become a lien or charge against Individual Property other than Permitted Encumbrances, and shall promptly pay for all utility services provided to its Individual Property. Each Borrower shall furnish to Lender or its designee upon request, receipts for the payment, or other evidence reasonably satisfactory to Lender of payment, of such Impositions, Other Charges and said utility services prior to the date the same shall become delinquent, except with respect to amounts that Lender is obligated to disburse pursuant to Section 2.7.7(b). After prior written notice to Lender, a Borrower, at its own expense, may contest by appropriate legal proceeding, promptly initiated and conducted in good faith and with due diligence, the amount or validity or application in whole or in part of any Impositions or Other Charges, provided that (i) no Event of Default has occurred and is continuing, (ii) such proceeding shall suspend the collection of the Impositions or Other Charges from the applicable Individual Property, (iii) such proceeding shall be permitted under and be conducted in accordance with the provisions of any other instrument to which such Borrower or the related Individual Property is subject and shall not constitute a default thereunder, and (iv) such Borrower shall have furnished such security as may be required in the proceeding, or as may be reasonably requested by Lender, to insure the payment of any such Impositions or Other Charges, together with all interest and penalties thereon.

Impositions and Other Charges. (a) The Grantor has filed all federal, state, county, municipal and city income and other tax returns required to have been filed by it with any Governmental Authority as of the date hereof and has paid all Impositions that have become due and payable pursuant to such returns or pursuant to any assessments or charges received by it. The Grantor has no knowledge of any basis for any additional assessment or charge for Impositions for prior years. (b) The Grantor has paid in full all amounts owing or claimed for labor, material, supplies, personal property (whether or not constituting Equipment hereunder) and services of every kind and character used, provided or installed in or affixed or attached to the Property or any part thereof, and no claim for any of the foregoing exists.

Impositions and Other Charges. (a) Lessee shall pay and discharge, on or before the last day upon which the same may be paid without interest or penalty, all Lessee Impositions (as defined below), and any interest and penalties thereon, which are levied, assessed and due and payable during the Term. If any Lessee Imposition may legally be paid in installments, Lessee shall have the option to pay such Lessee Imposition in installments. Lessor shall pay and discharge, on or before the last day upon which the same may be paid without interest or penalty, all Lessor Impositions (as defined below), and any interest and penalties thereon, which are levied, assessed and due and payable during the Term. If any Lessee Imposition may legally be paid in installments, Lessee shall have the option to pay such Lessee Imposition in installments. Lessee and Lessor shall each furnish to the other within twenty (20) days after any written demand therefor by the other, proof of the payment of any amount which is payable by such party pursuant to this Section 4.4(a).   • Taxes and Other Charges Each Loan Party shall file, cause to be filed or obtain an extension of the time to file, all Tax returns and reports required by law to be filed by it and will promptly pay or cause to be paid all Taxes and governmental charges at any time owing, and shall promptly pay for all utility services provided to the Properties (other than any such utilities which are, pursuant to the terms of any Lease, required to be paid by the Tenant thereunder directly to the applicable service provider); provided that such Loan Party may contest in good faith any such Taxes, assessments and other charges and, in such event, may permit the Taxes, assessments or other charges so contested to remain unpaid during any period, including appeals, when a Loan Party is in good faith contesting the same so long as (i) the applicable Loan Party has set aside on its books (and, with respect to any Borrower, in the Special Reserves Account) adequate reserves in accordance with GAAP, and the non-payment or non-discharge of such Taxes, assessments or other charges could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect, (ii) enforcement of the contested Taxes, assessment or other charge is effectively stayed for the entire duration of such contest and no Lien is imposed on any Property or Collateral, and (iii) any Taxes, assessment or other charge determined to be due, together with any interest or penalties thereon, is promptly paid as required after final resolution of such contest. Promptly upon request of the Administrative Agent, the Borrowers shall post to the Administrative Agent’s online data room receipts evidencing payment of all Taxes due in respect of such sample of Financed Properties (by number) as may be reasonably requested by the Administrative Agent, which receipts shall be reviewed by the Diligence Agent to confirm that such Taxes have been paid on a timely basis.

  • Fees and Other Charges (a) The Borrower will pay a fee on each outstanding Letter of Credit requested by it, at a per annum rate equal to the Applicable Margin then in effect with respect to Eurocurrency Loans under the Revolving Facility (minus the fronting fee referred to below), on the face amount of such Letter of Credit, which fee shall be shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date; provided that, with respect to any Defaulting Lender, such Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit during the period prior to the time such Lender became a Defaulting Lender and unpaid at such time shall not be payable by the Borrower so long as such Lender shall be a Defaulting Lender except to the extent that such Lender’s ratable share of any letter of credit fee shall otherwise have been due and payable by the Borrower prior to such time; provided further that any Defaulting Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit shall accrue for the account of the Borrower so long as such Lender shall be a Defaulting Lender. In addition, the Borrower shall pay to each Issuing Lender for its own account a fronting fee on the aggregate face amount of all outstanding Letters of Credit issued by it to the Borrower separately agreed to by the Borrower and such Issuing Lender (but in any event not to exceed 0.25% per annum), payable quarterly in arrears on each Fee Payment Date after the issuance date. (b) In addition to the foregoing fees, the Borrower shall pay or reimburse each Issuing Lender for costs and expenses agreed by the Borrower and such Issuing Lender in issuing, negotiating, effecting payment under, amending or otherwise administering any Letter of Credit requested by the Borrower.

  • Rent and Other Charges Base Rent, Operating Expenses, and any other amounts which Tenant is or becomes obligated to pay Landlord under this Lease or other agreement entered in connection herewith, are sometimes herein referred to collectively as "Rent," and all remedies applicable to the non-payment of Rent shall be applicable thereto. Rent shall be paid at any office maintained by Landlord or its agent at the Property, or at such other place as Landlord may designate.
