Improper Business Relationships and Conflict of Interest Prohibited. In connection with this Agreement, Construction Manager shall ensure that no improper, unethical, or illegal relationships, or conflict of interest exists between or among Construction Manager, the Owner and any staff and faculty, and any other party to this Agreement. Owner reserves the right to determine the materiality of such relationships, when discovered or disclosed, whether intended or not; and to decide whether or not cancellation of award shall result. Such cancellation shall be at no fault or liability whatsoever to Owner.
