Common use of In-Kind Distribution Clause in Contracts

In-Kind Distribution. If an Investor seeks to effectuate an in-kind distribution, a transfer or an assignment of all or part of its Registrable Securities to its direct or indirect equityholders or any affiliates thereof, then Parent will cooperate with such Investor and ▇▇▇▇▇▇’s transfer agent to facilitate such transaction in the manner reasonably requested by such Investor.
