Common use of In order to induce Clause in Contracts

In order to induce. the Lenders to enter into this Amendment, the Borrower hereby represents and warrants that (i) the representations, warranties and agreements contained in Section 7 of the Credit Agreement are true and correct in all material respects on and as of the date hereof, both before and after giving effect to this Amendment (except with respect to any representations and warranties limited by their terms to a specific date, which shall be true and correct in all material respects as of such date) and (ii) there exists no Default or Event of Default on and as of the date hereof, both before and after giving effect to this Amendment.

In order to induce. the Lenders Banks to enter into this Amendment, the Borrower hereby represents and warrants that (i) the all representations, warranties and agreements contained in Section 7 of the Credit Agreement are true and correct in all material respects on and as of the date hereof, both before and after giving effect to this Third Amendment Effective Date (except with respect to any unless such representations and warranties limited by their terms relate to a specific earlier date, in which case such representations and warranties shall be true and correct in all material respects as of such earlier date) and (ii) there exists no Default or Event of Default on and as of the date hereofThird Amendment Effective Date, both before and in each case after giving effect to this Amendment.

In order to induce. the Lenders Banks to enter into this Amendment, the Borrower hereby represents and warrants that that: (ia) on the representationsAmendment Effective Date, warranties and agreements contained in Section 7 no Default or Event of the Credit Agreement are true and correct in all material respects on and as of the date hereofDefault exists, both before and after giving effect to this Amendment; and (b) on and as of the Amendment (except with respect to any Effective Date, all representations and warranties limited by their terms to a specific date, which shall be contained in the Credit Agreement or the other Credit Documents are true and correct in all material respects as of such date) and (ii) there exists no Default or Event of Default on and as of the date hereofrespects, both before and after giving effect to this Amendment.
