Incidental Provisions. 11.1 Licensor may assign its rights and obligations hereunder in whole or in part to any third party. Licensor shall promptly inform Licensee of any such assignment. Licensee may not assign or relinquish its rights and obligations hereunder to any third party. 11.2 All subsidiary agreements and modifications to this Agreement, including this written- form clause itself, shall be valid only if made in writing. 11.3 Nullity of one or several provisions of this Agreement because of an infringement of binding law shall have no effect on the validity of the other provisions of the Agreement. Both Parties hereto agree to replace the invalid provision by a valid provision which comes as close as possible to the intended effect of the invalid provision. 11.4 This Agreement shall be governed by the substantive law of the Netherlands 11.5 The place of jurisdiction for any dispute arising from this Agreement shall be Alphen aan den Rijn Netherlands.

  • Supplemental Provisions All of the terms, conditions, representations, warranties, covenants and other provisions, if any, set forth in the supplemental provisions attached hereto as Schedule 2 (the “Supplemental Provisions”) are hereby incorporated into this Contract and shall be considered a part hereof. In the event of any conflict or inconsistency between the Supplemental Provisions and the other provisions of this Contract, the Supplemental Provisions shall control.

  • Environmental Provisions 1. In performance of this contract the Contractor undertakes to comply with the environmental aspects hereof and with any other comparable conditions laid down in the specifications and detailed, where appropriate, in the Contractor’s tender. 2. The European Parliament reserves the right to carry out itself any inspections and checks on the Contractor which are necessary to ensure compliance with the environmental requirements laid down. Such inspections and checks may be carried out in part or in full by an external body duly authorised by the European Parliament. 3. Any failure on the Contractor’s part to comply with the environmental obligations laid down or any refusal to allow inspection by the European Parliament or a duly authorised body shall entitle the European Parliament to terminate this contract.

  • SPECIAL PROVISION The failure of the COUNTY to insist upon the strict performance of any provision of this Agreement or to exercise any right based upon breach thereof or the acceptance of any performance during such breach shall not constitute a waiver of any right under this Agreement.
