The Inconsistent Duties clause defines how conflicts between different obligations or requirements within a contract are to be resolved. Typically, this clause specifies which duty takes precedence if two or more contractual obligations are found to be incompatible, such as when a party is required to perform actions that cannot be simultaneously fulfilled. For example, if a party is required to deliver goods by a certain date but is also required to comply with new regulatory requirements that delay delivery, the clause would clarify which obligation overrides the other. Its core practical function is to prevent confusion and disputes by establishing a clear hierarchy or method for resolving conflicting duties within the contract.
