Incorporation of Background Definitions General Rules of Construction Clause Samples

This clause establishes that certain background information, definitions, and general interpretive rules are formally included as part of the agreement. It typically specifies that any referenced documents, prior understandings, or defined terms are incorporated by reference, and it sets out how terms should be interpreted throughout the contract. By doing so, the clause ensures consistency in understanding key terms and provides a framework for resolving ambiguities, thereby reducing the risk of disputes over interpretation.
