Common use of Incremental Fee Clause in Contracts

Incremental Fee. Upon execution of this Agreement, the Lenders and the "Lenders" under the 2000 Credit Agreement shall fully earn a fee equal to $2,000,000 (the "Incremental Fee"). The Incremental Fee shall be payable to the Administrative Agent (for the ratable benefit of the Lenders hereunder and the "Lenders" under the 2000 Credit Agreement) in the following manner: (i) $1,000,000 on September 30, 2001 and (ii) $1,000,000 on the Final Maturity Date; provided that the portion of the Incremental Fee due on September 30, 2001 shall be prepaid in whole or in part upon an asset sale or other disposition, a New Capital Transaction or receipt of a federal income tax refund as provided in Section 2.09. If all Obligations are repaid or otherwise satisfied and all Revolving Credit Commitments are terminated prior to March 31, 2002, payment of the $1,000,000 portion of the Incremental Fee due on the Final Maturity Date shall be forgiven.
