Incumbency and Signature Certificate. A certificate (dated as of the date of this Agreement) of the Secretary of the Borrower and the Secretary of Paycenters certifying the names and true signatures of the officers of the Borrower and Paycenters authorized to sign the Loan Documents to which it is a party and the other documents to be delivered by the Borrower or Paycenters under this Agreement.
