Common use of Incumbency and Signatures Clause in Contracts

Incumbency and Signatures. A certificate of the Secretary or an Assistant Secretary of the Company certifying the names of the officer or officers of the Company who have signed or will sign this Agreement, the Notes, and other documents provided for in this Agreement to be executed by the Company, together with a sample of the true signature of each such officer, and a certificate of authorization setting forth each Person who is authorized to effect Loans and other transactions hereunder, together with a sample of the true signature of each such Authorized Person. Each Bank may conclusively rely on such certificates until it shall have received notice to the contrary.

A certificate of the Secretary or an Assistant Secretary of the Company Designated Subsidiary certifying the names name and signature of the officer or officers of the Company Designated Subsidiary who have signed or will sign this Agreement, the Notes, and other documents provided for letter referenced in this Agreement to be executed by the CompanySection 10.2.2, together with a sample of the true signature of each such officer, and a certificate of authorization setting forth each Person who is authorized to effect Loans and other transactions hereunder, together with a sample of the true signature of each such Authorized Person. Each Bank may conclusively rely on such certificates until it shall have received notice to the contrary.
