Indebtedness of a Restricted Subsidiary of the Borrower Sample Clauses

The "Indebtedness of a Restricted Subsidiary of the Borrower" clause defines and regulates the types and amounts of debt that a subsidiary, which is subject to certain restrictions under the loan agreement, may incur. Typically, this clause sets limits on the subsidiary’s ability to take on new loans, issue bonds, or guarantee other obligations, and may require lender consent for certain transactions. Its core function is to protect the lender by preventing excessive or risky borrowing at the subsidiary level, thereby reducing the risk that the subsidiary’s financial obligations could negatively impact the borrower’s overall financial health or the lender’s security.
