Common use of Indebtedness of a Clause in Contracts

Indebtedness of a. Foreign Subsidiary of the Borrower existing on the Closing Date to the Borrower, provided that (a) the aggregate principal amount of such Indebtedness of all the Foreign Subsidiaries to the Borrower does not exceed $15,000,000 at any time and (b) such Indebtedness is on a demand basis and is at all times evidenced by a proper demand promissory note pledged to the Agent for the benefit of the Banks, as provided in ss.10.3 hereof;
