Indebtedness of the Borrower or any Restricted Subsidiary Clause Samples

The "Indebtedness of the Borrower or any Restricted Subsidiary" clause defines and regulates the types and amounts of debt that the borrower and its restricted subsidiaries are permitted to incur under the agreement. Typically, this clause outlines specific categories of allowable indebtedness, sets limits on total debt levels, and may require that certain conditions be met before new debt can be taken on. For example, it might permit refinancing of existing loans or allow for certain trade payables, while prohibiting unsecured or subordinated debt beyond a set threshold. The core function of this clause is to protect lenders by limiting the borrower’s and its subsidiaries’ ability to take on excessive financial obligations, thereby reducing the risk of default and preserving the creditworthiness of the borrower group.
