Indemnification and Hold Harmless. GRANTEE shall defend, indemnify and hold harmless CITY, its officers, employees and agents against any claim, loss, or liability arising out of or resulting in any way from work performed under this AGREEMENT due to the willful or negligent acts (active or passive) or omissions by GRANTEE’s officers, employees or agents. The acceptance of said services and duties by CITY shall not operate as a waiver of such right of indemnification. ▇▇▇▇▇▇▇’s obligations under this indemnification provision shall survive the expiration or termination of this AGREEMENT.
