Common use of Indemnification by APP and Buyer Clause in Contracts

Indemnification by APP and Buyer. Subject to the terms and conditions of this Article XIV, APP and Buyer jointly and severally hereby agree to indemnify, defend and hold Seller and its respective agents, attorneys and Affiliates harmless from and against all Damages asserted against or incurred by such indemnities arising out of or resulting from (a) a breach by APP or Buyer of any representation or warranty (without giving effect to any Material Adverse Effect qualifier contained as part of any such representation or warranty) of APP or Buyer contained herein or in any schedule or certificate delivered hereunder.
