Common use of Indemnification by Contributors Clause in Contracts

Indemnification by Contributors. Each Contributor for such Contributor only, and for no other Contributor, hereby indemnifies and agrees to defend and hold harmless FWRLP and its partners and subsidiaries and any officer, director, employee, agent of any of them, and their respective successors and assigns from and against any and all claims, expenses, costs, damages, losses and liabilities (including reasonable attorneys' fees) which may be asserted against or suffered by any indemnitee, the Partnership or the Property, or any part thereof, whether before or after the Closing Date, as a result of, on account of or arising from any breach of any representation, warranty, covenant or agreement on the part of such Contributor set forth in Section 5 herein or in any instrument or document related thereto delivered pursuant to this Agreement. The obligations set forth in this Section 15(a) shall survive Closing without limitation.
