Common use of Indemnification by Simtek Clause in Contracts

Indemnification by Simtek. Simtek covenants and agrees that it will indemnify, defend, protect and hold harmless Shareholders at all times from and after the date of this Agreement against all Damages based upon, resulting from or arising out of any inaccuracy or breach of any representation or warranty of Simtek contained in Article III of this Agreement.
