Common use of Indemnification by the BHR Group Clause in Contracts

Indemnification by the BHR Group. The BHR Group will indemnify, defend and hold harmless the Bristol Group and each of their respective stockholders, directors, officers, employees and agents, each Affiliate of any of the foregoing and each of the heirs, executors, successors and assigns of any of the foregoing, specifically including the Surviving Corporation and each of its Subsidiaries, stockholders, directors, officers, employees and agents, each Affiliate of any of the foregoing and each of the heirs, executors, successors and assigns of any of the foregoing following the Merger (collectively, the "Bristol Indemnitees") from and against any and all Losses of any of the Bristol Indemnitees relating to, resulting from or arising out of any Spin-Off Liability.
