Common use of Indemnification by the Servicer Clause in Contracts

Indemnification by the Servicer. Pursuant to the terms of Section 9.8, the Servicer, as an Indemnifying Party, hereby agrees to defend, indemnify, and hold harmless the Owner, the Master Servicer, any Indenture Trustee, and any of their successors and assigns, their Affiliates, and all of their respective officers, directors, shareholders, partners, employees and agents, as an Indemnified Party, from and against any and all demands, claims, losses, damages, fines, penalties, attorney fees, judgments and any other costs, fees, and expenses (collectively "Damages") arising from third party claims or actions that were caused by or resulted from a breach by the Servicer or its agents of any representation, warranty or obligation contained in this Agreement or the failure of the servicer to service the Mortgage Loans in compliance with this Agreement.
