Common use of Indemnification by You Clause in Contracts

Indemnification by You. You shall defend Us against any Claim made or brought against Us by a third party alleging that Your Data, or Your use of the Services in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law, and shall indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Us in connection with any such Claim; provided, that We (a) promptly give You written notice of the Claim; (b) give You sole control of the defense and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release Us of all liability); and (c) provide to You all reasonable assistance, at Our expense.

Indemnification by You. You shall defend Us and our Affiliates against any Claim claim made or brought against Us by a third party alleging that Your Data, or Your use of the Cloud Services in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates any applicable lawlaw or breaches any contract, and shall indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Us in connection with any such Claim; provided, that We (a) promptly give You written notice of the Claimclaim; (b) give You sole control of the defense and settlement of the Claim claim (provided that You may not settle any Claim claim unless the settlement unconditionally release releases Us of all liability); and (c) provide to You all reasonable assistance, at Our Your expense.

Indemnification by You. You shall will defend Us against any Claim (a) made or brought against Us by a third party alleging that Your Data, or Your use of the Services in violation of this Agreement, Data infringes or misappropriates the intellectual property rights of a third party or violates applicable law, or (b) arising out of or related to your breach of this Agreement, and shall will indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Us in connection with any such Claim; provided, that We (ai) promptly give You written notice of the Claim; , (bii) give You sole control of the defense and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release Us of all liability); , and (ciii) provide to You all reasonable assistance, at Our expense.

You shall defend Us against any Claim made or brought against Us by a third party (i) alleging that Your Data, or Your use of the Services Software in violation of this Agreement, infringes or misappropriates the intellectual property rights registered copyrights or issued patents of a third party or violates applicable law, or (ii) arising on account of Your modification or enhancement of the Software, and shall indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Us in connection with any such Claim; provided, that We for (a) promptly give You written notice of the Claim; ; (b) give You sole control of the defense and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release Us of all liability); and (c) provide to You all reasonable assistance, at Our expense.

You shall defend Us against any Claim made or brought against Us by a third party alleging that Your Data, or Your use arising out of the Services in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable lawExcluded Claims, and shall indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Us in connection with any such Claim; provided, that We (a) promptly give You written notice of the Claim; (b) give You sole control of the defense and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release Us of all liability); and (c) provide to You all reasonable assistance, at Our expense.. LIMITATION OF LIABILITY

You shall defend Us against any Claim made or brought against Us by a third party alleging that Your the Enterprise Data, or Your use of the Jostle Services in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law, and shall indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred byby Us, Us in connection with any such Claim; provided, provided that We (a) promptly give You written notice of the Claim; (b) , give You sole control of the defense and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release Us of all liability); , and (c) provide to You all reasonable assistance, assistance at Our Your expense.

Indemnification by You. You shall defend Us against any Claim made or brought against Us by a third party alleging that Your Data, or Your use of the Services Services, or your use of the Connector is in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law, and shall indemnify Us for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Us in connection with any such Claim; provided, that We We (a) promptly give You written notice of the Claim; (b) give You sole control of the defense defence and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release Us of all liability); and (c) provide to You all reasonable assistance, at Our expense.
