Indemnification Made By ▇▇▇▇ Licensor. ▇▇▇▇ Licensor will indemnify and hold harmless ▇▇▇▇ Licensee from and against all Losses suffered by ▇▇▇▇ Licensee as a result of a third-party claim against ▇▇▇▇ Licensee alleging that ▇▇▇▇ Licensor’s Marks infringed that third party’s United States trademark rights existing as of the Effective Date. If ▇▇▇▇ Licensor’s Marks become, or in ▇▇▇▇ Licensor’s opinion are likely to become, the subject of an infringement claim ▇▇▇▇ Licensor will, at its option and expense, either: (1) procure for ▇▇▇▇ Licensee the right to continue exercising the rights licensed to ▇▇▇▇ Licensee in this Agreement;
