Common use of Indemnification of Trustee Clause in Contracts

Indemnification of Trustee. The Company shall and hereby agrees to indemnify the Trustee for, and hold the Trustee harmless against, any loss, liability or expense (including the costs and expenses of defending against any claim of liability) incurred without gross negligence or willful misconduct by the Trustee and arising out of or in connection with its acting as Trustee under the Indenture.

Indemnification of Trustee. The Company shall and hereby agrees to indemnify the Trustee for, and hold the Trustee harmless against, any loss, liability or expense (including the costs and expenses of defending against any claim of liability) incurred without gross negligence or willful misconduct by the Trustee and arising out of or in connection with its acting as Trustee under the Indenture.

Indemnification of Trustee. The To the fullest extent permitted by law, the Company shall and hereby agrees to indemnify indemnify, to defend, and to hold harmless the Trustee for, against any liability whatsoever for any action taken or omitted by such Trustee in good faith in connection with this Plan or duties hereunder and hold for any expenses or losses for which the Trustee harmless against, may become liable as a result of any loss, liability such actions or expense (including the costs and expenses of defending against any claim of liability) incurred without non-actions unless resultant from gross negligence or willful misconduct by the Trustee and arising out of or in connection with its acting as Trustee under the Indenturemisconduct.

Indemnification of Trustee. The Company shall and hereby agrees to indemnify the Trustee for, and to hold the Trustee harmless againstfrom and against any and all claims, any lossdemands, liability or expense (including the causes of action, losses, damages, liabilities, costs and expenses of defending (including, without limitation, attorneys’ fees and court costs) at any time asserted against any claim of liability) or incurred without gross negligence or willful misconduct by the Trustee and by reason of, arising out of or in connection with the execution of this Supplemental Indenture, except for the Trustee’s own negligent action, its acting as Trustee under the Indentureown negligent failure to act, or its own willful misconduct.

Indemnification of Trustee. Indemnification of Trustee. The Company shall indemnify and hereby agrees to indemnify hold harmless each Trustee from and against any and all claims, losses, damages, expenses (including reasonable attorneys' fees approved by the Trustee forCompany), and hold the Trustee harmless against, any loss, liability or expense (including any reasonable amounts paid in settlement with the costs and expenses Company's approval), arising from any act or omission of defending against any claim of liability) incurred without gross negligence or such Trustee, except when the same is judicially determined to be due to the willful misconduct by the Trustee and arising out of or in connection with its acting as Trustee under the Indenturesuch Trustee.
