Common use of INDEMNITY PROVIDED BY CUSTOMER Clause in Contracts

INDEMNITY PROVIDED BY CUSTOMER. 10.1 The Customer shall defend, indemnify and hold harmless the Supplier against all Losses arising out of or in connection with the Customer's and the Users' use of the ▇▇▇▇▇ Solution, including any failure to comply with Clause 5. 10.2 In relation to any claim which gives rise or may give rise to any Loss in respect of which the Customer shall indemnify the Supplier under clause 10.1: 10.2.1 the Supplier shall give the Customer prompt notice of any such claim; 10.2.2 the Supplier shall provide reasonable co-operation to the Customer in the defence and settlement of such claim, at the Customer's expense; and 10.2.3 the Customer shall be given sole authority to defend or settle the claim.
