Buyer has been advised by and has relied solely upon on its own expertise in and legal, tax, reservoir engineering and other professional counsel concerning this transaction, the Assets Property and the value thereof, as determined by Buyer's examination of Seller's records and inspection of the Property, and the representations, warranties and covenants made by the Seller in this Agreement.

Buyer acknowledges that it is an experienced and knowledgeable investor in the oil and gas business, and the business of purchasing, owning, developing and operating oil and gas properties. In making the decision to enter into this Agreement and to consummate the transactions contemplated hereby, Buyer has relied solely upon its own independent due diligence investigation of the Company, the Membership Interests and the Participation Agreement and it has been advised by and has relied solely upon on its own expertise in and its own legal, tax, reservoir engineering financial and other professional counsel and advisors concerning this transaction, the Assets and the value thereof.

Except for the representations, warranties and indemnities provided by Seller under this Agreement, Buyer has been advised by and has relied solely upon on its own expertise in and legal, tax, reservoir engineering engineering, environmental and other professional counsel concerning this transaction, the Assets Subject Property and the value thereof.
