Information Provided by the Agent Clause Samples

Information Provided by the Agent. The Company and each person, if any, who controls the Company within the meaning of the Securities Act or the Exchange Act, hereby acknowledges that the only information that the Agent has furnished to the Company expressly for use in the Registration Statement, any preliminary prospectus or the Prospectus (or any amendment or supplement thereto) are the statements set forth solely in the paragraph within "Plan of Distribution" in the Prospectus which begins with the sentence "Petkevich & Partners, LLC was organized and registered as a broker-dealer and became a member of the NASD in December 2000. "; and the Agent confirms that such statements are correct.
Information Provided by the Agent. The Agent confirms and the Company acknowledges and agrees that (i) the statements set forth in the final sentence of the first paragraph under the caption “Plan of Distribution” in the Prospectus Supplement and (ii) such other statements as the Agent or the Alternative Agent may, by notice given to the Company in writing after the date of this Agreement, have been furnished to the Company by the Agent specifically for inclusion in the Registration Statement, the Prospectus, the Pricing Disclosure Package, any Issuer Free Writing Prospectus or any amendment or supplement thereto, are correct and constitute the only information furnished in writing to the Company by or on behalf of the Agent or the Alternative Agent specifically for inclusion in the Registration Statement, the Prospectus, the Pricing Disclosure Package, any Issuer Free Writing Prospectus or in any amendment or supplement thereto.
Information Provided by the Agent. 8.1. AGENT shall provide SUB AGENT with, examine and verify, the tour related information and ensure that SUB AGENTS understands all of the policies, fees and requirements to which he/she will be subject. 8.2. The Agent shall endeavour to furnish to SUB AGENT with the general information about the health, safety and living standards and also weather conditions and customs and currency regulations in the place of destination as well as any other relevant information which AGENT may provide to SUB AGENT at its own discretion, and SUB AGENT acknowledges hereby that he/she has received all such information orally and/or in writing.
