Common use of Information Statement; Listing Clause in Contracts

Information Statement; Listing. Cardinal Health shall mail the Information Statement to the holders of Cardinal Health Common Shares as of the Record Date. Cardinal Health and CareFusion shall take all such actions as may be necessary or appropriate under the securities or “blue sky” Laws of states or other political subdivisions of the United States and shall use commercially reasonable efforts to comply with all applicable foreign securities Laws in connection with the transactions contemplated by this Agreement and the other Transaction Documents. CareFusion shall prepare, file and pursue an application to permit listing of the CareFusion Common Stock on the NYSE.
